UAB Cambix X is authorised in Lithuania by the Bank of Lithuania (license number 306321539) and is registered as a Virtual Asset Service Provider subject to the prudential and AML/CTF supervision of the Bank of Lithuania.

By accessing and/or using this website (“UNX website”) and/or app (“UNX apps”), you acknowledge that you have read and agree to abide by these terms described below (“Terms”). If you do not agree to these Terms, you should exit this site now. These Terms may be amended at any time and the amended Terms will be published on this site. We recommend you to visit this page from time to time to keep updated with any changes. Your continued usage of our services on this UNX website or our app (“Services”) after the amended Terms come into effect shall constitute acceptance of such amendments.

These Terms, and your acceptance thereof, constitutes a binding contract between you and UAB Cambix X, a company having its registered office at Žalgirio g. 88-101, LT-09303 Vilnius, Lithuania, and registered with the Bank of Lithuania (Cambix, us, we and/or our) and applies to your use of Our Services. These Terms incorporate, and you hereby accept and agree to, all applicable policies, notices, procedures, specifications, FAQs, guides and guidelines that are provided and/or made available to you, appear on our UNX website and/or apps are referenced in these Terms and which we may modify from time to time (collectively, the “Policies”).

In these Terms and Conditions, 'UNX' and 'Cambix' may be used interchangeably. 'Cambix' refers to the Company providing the Services, which include the UNX website and app. However, as Cambix offers additional services beyond UNX, the term 'UNX' may be used in contexts where it provides greater clarity.

KEY RISKS

Overview

Engaging in digital asset trading and using related services involves substantial risk. By using UNX Exchange and its services, you confirm that you understand and accept all associated risks. You are solely responsible for compliance with all applicable laws, including but not limited to anti-money laundering (AML), counter-terrorism financing (CTF), sanctions, taxation, foreign currency transactions, reporting, and disclosure obligations.

General Risks

Digital Asset Trading Risks
Digital assets are highly volatile, subject to rapid price fluctuations, regulatory changes, and liquidity constraints. You may experience substantial or total loss of value. Assess your financial condition and seek professional advice before engaging in trading activities.

Regulatory Risks

The legal and regulatory landscape for digital assets is rapidly evolving. Changes in laws, regulations, or directives may impact your ability to use UNX services or access digital assets. UNX is not responsible for any losses arising from regulatory changes.

Cybersecurity and Technology Risks
UNX Exchange relies on internet and blockchain technologies, which are inherently vulnerable to cyberattacks, technical failures, and other disruptions. There is no guarantee of error-free or uninterrupted service. Use of third-party integrations, smart contracts, or other software introduces additional risks.

Market Risks
Digital assets are subject to extreme market conditions, including price volatility, liquidity shortages, and market manipulation by large holders. UNX does not provide investment advice, and all trading decisions are made at your own risk.

User Responsibility
You must fully understand and accept all risks before using UNX services. Seek professional advice suited to your financial situation. Losses may occur, and you bear full responsibility for them.

Trading Risks on DApps

  • No Deposit Protection: Digital assets are not covered by deposit insurance schemes.

  • Lack of Statutory Protection: No government compensation funds protect digital assets.

  • Operational Risks: Allowing third parties access to your account increases risk.

  • Security Updates: Outdated software may expose vulnerabilities.

  • Use of Insecure Devices: Jailbroken or compromised devices increase security risks.

  • Conflicts of Interest: Platform operators may have interests that differ from users.

Service-Specific Risks

  • Account Security: You are responsible for safeguarding your login credentials and account access.

  • Third-Party Platforms: Losses arising from third-party services or integrations are not covered by UNX.

  • Password Protection: Failure to secure your account can result in permanent loss of assets.

  • Informed Decision-Making: You must fully understand the risks before engaging with UNX services.

In light of these risks, as well as additional risks that may arise in the future, you must carefully evaluate whether participation in digital asset trading and use of UNX services is suitable for you – especially in light of your financial situation. The risk disclosure outlined herein is not exhaustive. You must seek professional financial and legal advice before using our services. BY USING UNX SERVICES, YOU ACKNOWLEDGE THAT LOSSES MAY OCCUR RATHER THAN PROFIT MADE AS A RESULT OF PARTICIPATING IN OUR SERVICES, AND YOU ACCEPT FULL RESPONSIBILITY FOR ALL RISKS INVOLVED.

You agree as follows:

1. INTERPREATION AND DEFINITIONS

In these Terms, unless the context otherwise requires:

  • words importing the singular include the plural and vice versa;

  • words importing a gender include all genders;

  • references to a person include any individual, company, corporation, partnership, trust, or other legal entity;

  • references to “including” or similar expressions are not to be interpreted as words of limitation; and

  • headings are for convenience only and do not affect interpretation.

The following terms shall have the following meaning:

  • "Applicable Law" means any and all law, regulation, statute, orders, codes rules, decrees, ordinances, codes of practice, judgments, preliminary injunctions and/or precautionary measures, decisions and interpretations of any laws by any regulatory authority, EU and international treaties and regulations, applicable to the Services and/or to you with respect to the Services including but not limited to financial services regulations now existing or implemented in the future as well as, when applicable, any applicable laws and regulations in force in the country where you use our Services.

  • "Assets" or "Funds" means Digital Asset or Legal Tender or both.

  • "Account" or "UNX account" means an online financial account that is accessible and owned by you personally via the service.

  • "Balance" means any Funds that you have in your UNX account.

  • "Business Days" means a day (other than a Saturday or Sunday) on which banks in Lithuania are open for business.

  • "Digital Asset" is a Crypto Asset, and shall have the same meaning as defined in the Markets in Digital Assets Regulation (MiCA) adopted by the European Parliament and the Council. This includes Bitcoin, Ethereum, and other Digital Assets supported by UNX's Services.

  • "Customer Assets" means any Assets currently maintained in your UNX account.

  • "External account" means any payment account, bank account, or other payment instrument or Digital Asset wallet, maintained with a third-party provider, that you may use in conjunction with the Services in order to enable the delivery or receipt of Assets out of or into a UNX account.

  • "Fees" means the fees charged by UNX in connection with the use of the Services, which are described in more detail in the Fee Schedule.

  • "Login Credentials" means login password, API key, API secret key, authentication code, security code, and any other mechanisms used by you to access your UNX account and Customer Assets.

  • "Losses" means all costs, claims, demands, losses, expenses, and liabilities of any nature whatsoever, including reasonable legal and attorney fees and costs.

  • Personal Data” means information supplied by the User from which the identity of the User may be inferred directly or indirectly.  

  • “Platform” means the entire services of UNX, UNX website, apps, platforms, plug-ins, and any other applications that offer our Services.

  • "Services" means all products, services, content, features, technologies, or functions offered by Cambix through the UNX website or app.

  • Transaction(s)” means any financial transaction in your UNX account including Deposits (transferring Funds into your UNX account from another account you own), Withdrawls (transferring Funds from your UNX account to another account you own), and Transfers (transferring Funds from your UNX account to an external account); this also includes selling, purchasing, or entering into transactions in Digital Asset as may be available from time to time on UNX Exchange. 

  • "User," "you" or "your" means you and any other person or entity entering into these Terms with us or using the Service in accordance with these Terms and/or any other person or entity that is a customer of a UNX.

2. ELIGIBILITY

To use most of our Services, you need to create a UNX account with us. Your account may hold Digital Assets. To use any of our Services, or to create an UNX account, you must meet at least the following conditions (“Conditions”):

2.1. Age and Legal Capacity:

  • If you are an individual, you must be old enough to legally form a binding contract in your jurisdiction (in the EU, that’s 18 years old).

  • You must have full legal capacity to enter into a contract.

2.2. Entity Requirements:

  • If you are an entity, you must be duly organized and validly existing under the Applicable Law of the jurisdiction of your organization.

  • You must have full power and authority to enter into these Terms without violating any other agreement you have made.

  • We reserve the right to request any additional documentation in order to ensure compliance with this requirement.

2.3. Contact Information:

  • You must have a current and valid email address, mobile phone number, and physical address.

2.4. Location Restrictions:

  • You must be a resident in a location where we are licensed to provide our Services and which does not appear on any international sanction list or restricted countries list.

  • You must not be located in, under the control of, or resident in—or, if you are an entity, not be directly or indirectly owned or controlled by any person located in, under the control of, or organized or resident in—any sanctioned or embargoed jurisdiction (including Crimea, Cuba, Donetsk, Iran, Luhansk, North Korea, Russia, Belarus, and Syria), or any jurisdiction where we may have restricted use of any services.

  • We may restrict or prohibit the use of all or a portion of the Services from certain countries, territories, or jurisdictions (“Restricted Location(s)”) that are updated continuously. You represent and warrant that you are located in the territory or country which you disclosed at the time of account registration and that you are not located in a Restricted Location.

2.5. Sanctions and Watchlists:

  • If you are an individual, you must not be listed on—or, if you are an entity, not listed on or be directly or indirectly owned or controlled by any person listed on—any trade embargoes or economic sanctions lists, including but not limited to the UN Security Council Sanctions list, OFAC's Specially Designated Nationals list, regional or foreign government watchlists, or any other similar lists.

2.6. Additional Requirements:

  • You may be required to comply with additional requirements to open an account with UNX or use the services in the jurisdiction in which you are located. We'll use reasonable efforts to notify you of such additional requirements, but your ability to open an account and use the services is subject to those additional requirements whether notice has been provided or not.

  • By making an account or using the services, you represent and warrant that you meet all of the Conditions. If you stop meeting the Conditions, you must immediately notify us and stop using your account and the services. We may require proof that you meet the Conditions. Even if you meet the Conditions, we may, in our sole discretion, determine that you’re not eligible to have an account or use the services.

  • You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity, to confirm the above eligibility requirements, to protect you or us against fraud or other financial crime, and as we determine may be necessary to facilitate compliance with these Terms and Applicable Law. You understand and agree that we may take action we reasonably deem necessary based on the results of such inquiries, that we have no obligation to inform you of the results of any inquiry and that you expressly waive any obligation we (or are affiliates) may have to take, or advise you of, any possible remedial measures. When we carry out these inquiries, you acknowledge and agree that your personal information may be disclosed to credit reference and fraud prevention or financial crime agencies and that these agencies may respond to our inquiries in full.


3. ACCOUNT CREATION AND VERIFICATION

3.1. You agree to, and represent and warrant that you will:

  • For personal UNX Account creation purposes, you must provide an email address, a password, and country of residency.

  • For Know-Your-Client (“KYC”) purposes, you may be required to provide certain identifying information, including but not limited to your full name, official personal document number, physical address, nationality, and date and place of birth. The specific information required may vary based on regulatory requirements and your level of verification. 

  • When creating your UNX account, you agree to:

    • provide accurate, current and complete information about your location and identity in connection with creating your UNX account and completing the necessary KYC steps, and immediately notify us if you change your country of residency,

    • not use your UNX Account for the benefit of any person other than you,

    • not share your Login Credentials with anyone else,

    • preserve the security of your Account, including by using a strong password that you don’t use anywhere else, and enable multi-factor authentication,

    • notify us immediately if you discover or suspect any security breaches related to your Account,

    • take full responsibility for all activities and transactions that occur under your Account, and accept all risks of any authorized or unauthorized access to your Account, to the maximum extent permitted under Applicable Law, and

    • provide accurate, complete, truthful, and updated information at all times when using any account or service, including when conducting a Trade, Deposit, and Withdrawal, and when otherwise prompted by any screen displayed or KYC check within the services or on the Platform.



If you do not provide all required information when opening your UNX account, we reserve the right to place your Account on standby and/or freeze or suspend your Account until you provide all required information. We may also close your on-boarding process and delete your Personal Data if we do not receive all required information. Failure to provide the necessary information when prompted by KYC checks may result in restrictions on your Account or the inability to access certain Services.

3.2. If you have applied for another UNX account in the past with any of the same information, we reserve the right to not approve the new UNX account and you may be required to access and use your previously approved UNX account. If you were previously denied a UNX account or had a UNX account closed by us, you may not be able to reapply for a UNX account.

  • 3.3. We may require you to provide additional information to verify your identity as a condition to providing the Services to you, or before we permit you to make transactions or receive or withdraw funds from your Account. We may make, directly or through a third party, any inquiries we consider necessary to validate information that you provide to us, including without limitation checking commercial databases, population registers or credit reports. You authorize us to obtain one or more of your credit reports, from time to time, to establish, update, or renew your account with us or in the event of a dispute relating to these Terms and activity under your account. 

4. CHANGING OR CLOSING YOUR ACCOUNT

  • 4.1. You can review the Personal Data you have provided us and make any desired changes to such information, or to the settings for your UNX account, by logging into your account profile and changing your preferences. You can terminate your Account by raising a support ticket. We will keep your account information in our database for up to 5 years or longer, as per our Privacy Policy. 


  • 4.2. Unless your UNX account access is restricted (for example, due to suspected unauthorized access or a very prolonged inactivity period), you may access the details of your transaction history, available Funds, and other information relating to your UNX account, by logging into your Account. You are also able to export your transaction history in CSV format. You hereby agree to receive your transactions information through your account transactional history.

5. ACCOUNT SECURITY

  • 5.1. UNX is committed to handling our customer information and Personal Data with high standards of information security. We implement industry standard encryption protocols to protect all customer data in transit and at rest against unauthorized access, disclosure, or modification. We maintain security controls in accordance with Applicable Law and best practices to safeguard sensitive information.


  • 5.2. You acknowledge the importance of taking all necessary measures and precautions to preserve security. All personalized security features elements shall be strictly personal. Your email address, a password that you select and certain additional authentication methods will be used to access our Services. You may also be prompted to answer security questions or use your Login Credentials to authorize any Transactions. You are responsible for maintaining the secrecy and security of your Login Credentials and undertake to maintain secrecy and security thereof. 


  • 5.3. UNX representatives will never ask you for your password, so any email, phone call or other communication requesting for your password should be treated as unauthorized and suspicious and forwarded to us for further investigation. In this regard, you also undertake:

    • to always use your Login Credentials away from others;

    • to regularly consult your Account to assess it for any suspicious transaction.


  • 5.4. For security reasons, it is recommended that you periodically change your passwords and use multi-factor authentication. You must choose a password of sufficient length and composed, whenever possible, of a combination of letters, numbers and punctuation marks or special characters, as well as using uppercase and lowercase characters. UNX may, at its discretion, impose an expiry date for passwords beyond which you will not be able to access the Services via internet without a prior modification of your password.


  • 5.5. To access the Services of UNX via internet, you must comply with the technical requirements (regarding hardware and software) as may be described by UNX on its UNX website. You shall take all necessary measures to ensure that the technical characteristics of your IT equipment, software and internet connection allow you to access the UNX website in a secure manner.


  • 5.6. You are fully liable for the proper functioning of your own IT devices and internet access. You shall ensure that such devices do not have any apparent problems or malicious code and provide sufficient security to prevent a risk of any third party gaining access to data pertaining to the provided Services. You will use your best endeavors to maintain such security.


  • 5.7. You shall be liable for the proper use of the Services via internet in accordance with the technical requirements, security instructions and any other instructions provided by UNX from time to time.


  • 5.8. You shall be responsible for any damages that you may suffer due to your failure to comply with your undertakings set out herein and, in particular the disclosure of your Login Credentials because of you failing to comply with your obligations. If an issue relating to your Login Credentials occurs, you shall bear any and all losses arising out from your breach. 

6. DEPOSIT OF DIGITAL ASSETS


  • 6.1. To utilize our Service, you must have Funds in your UNX account. For transferring Digital Assets into your UNX account ("Deposit"), you must be the actual or beneficial owner of a traditional financial account or crypto wallet maintained outside the Services ("External Account"), and your External Account must be approved by us and must not be flagged as a 'bad wallet' by our third-party vendors conducting AML and blockchain analysis. We reserve the right to revoke our approval of any External Account at any time without notice.

6.2. We are not responsible for the use, management, or security of any External Account. By using an External Account in connection with the Services, you represent and warrant that:

  • You are the beneficial owner of the External Account.

  • You comply with all terms and conditions applicable to the External Account.

  • You have the authority to make deposits to and take withdrawals from the External Account.

  • You have provided complete and accurate information to us regarding the External Account.

We may require you to verify that you control an External Account before accepting any Deposit from it, and you agree to provide us all necessary information to make such verification.

6.3. Our Services only support certain types of Digital Assets. If you attempt to Deposit any Funds, Digital Asset or Legal Tender that our Services do not support or accept, you may permanently lose the asset, and we will not be liable for your loss. We may, at our sole discretion, attempt to identify the feasibility to locate and return the lost Funds, but we have no obligation to do so. If we choose to do so, we may charge you a fee to cover our costs and expenses related to the identification and return of the Funds.

7. EXECUTION 

7.1. The timeframe to complete a Transaction may vary. We do not control or make any guarantees about this time frame as it depends upon the performance of third parties, including third-party financial institutions or payment services. 

7.2. All Transactions are final,non-refundable, and non-reversable once started and completed. We can not cancel a Transaction once it has been initiated. 

7.3. We may, at any time and without notice, reject any Transaction, or impose limits on Transactions you can make (for example, in magnitude and frequency). Transactions limits and withdrawal hold durations are based on many factors, such as account history, payment activity, and transaction history. Transactions limits and withdrawal hold durations may adjust over time with no prior notice.

7.4. If you reverse a Transaction made from an External Account, you authorize us, in our sole discretion, to cancel the Transaction or to use alternate Digital Assets in your account as necessary to complete the Transaction or resolve any resulting shortfall or negative balance, including to exchange Digital Assets in your account for alternative types of Digital Assets and deduct any applicable fees.

7.5. We may charge you fees for executing Transactions on your behalf. There may also be third-party fees associated with the use of External Accounts, and we aren’t responsible for any such third-party fees. 

8. CUSTODY AND TITLE OF DIGITAL ASSETS 

8.1. Our infrastructure utilizes an omnibus vault. While Customer Assets are held in a shared vault, we maintain internal ledger accounts to track each individual customer's Balances separately. Transactions are uniquely linked to individual customers within our system. Title to the Funds in your account remains with you, and we do not claim ownership over them. As a custodian, we will not sell, transfer, loan, or otherwise encumber your Customer Assets except as instructed by you or as required by law. Our legal and operational framework is designed to ensure that Customer Assets remain separate from our corporate assets and are not subject to claims from our creditors.

8.2. Customers do not hold private keys to their Customer Assets. Instead, access to your account is managed through password-based authentication and email OTP, with optional TOTP for enhanced security. Custody is structured using an omnibus wallet, where customer balances are tracked separately within our internal ledger system. A third-party custodian manages the omnibus wallet and maintains records to ensure accurate tracking of Deposits, Withdrawals, and all Transactions. Customer Assets remain securely stored and are identifiable within the custodian’s vault framework, ensuring clear distinction between individual balances.

8.3. To initiate high-value fund transfers exceeding a predefined threshold from the custodian vault, a multi-signature authorization is required, ensuring enhanced security for larger Customer Assets. For users within the omnibus vault structure, third-party providers maintain a transaction ledger linking user IDs to transactions. Digital Assets may be held across multiple blockchain protocols and, in some cases, transferred off the primary blockchain to shared blockchain addresses controlled by us or stored in alternative blockchain-compatible formats. You agree that all forms of the same Digital Asset may be treated as fungible and equivalent.

8.4. Our Platform relies on third-party service providers for transaction processing and asset management. While we strive to ensure the security and efficiency of these services, we are not responsible for any issues arising from their operations, including but not limited to transaction delays, fee discrepancies, or security breaches, if not specifically stated herein.

9. WITHDRAWAL OF DIGITAL ASSETS

9.1. You may be able to transfer FundsDigital Assets from your account ("Withdraw" or "Withdrawal"), subject to applicable withdrawal limits. These limits can include thresholds based on both the total amount at a given time and cumulative withdrawals over a period. Additionally, a second tier of limits applies based on your KYC level. The specific withdrawal limits will be determined and implemented upon completion of the KYC verification. You may only withdraw up to the total amount of Funds in your account, minus any applicable fees, and minimum balance requirements, or amounts needed to satisfy open positions or outstanding obligations.

9.3. A Withdrawal may not be able to be completed partially or fully, including because the External Account rejects your Digital Assets or the External Account is unavailable. We'll attempt to complete Withdrawals that can be completed, whether partially or fully, within a reasonable time after your request, but we cannot guarantee Withdrawals will be completed within any particular time. We are not responsible for any damages resulting from any rejected Withdrawal.

9.3. You may not cancel a withdrawal once initiated. All Withdrawals are final, non-refundable, and non-reversible once made. 

9.4. We may, at our discretion, determine that it is necessary or appropriate to suspend your ability to make Withdrawals. We reserve the right to suspend Withdrawals indefinitely to ensure compliance with these terms or any legal, regulatory, or administrative obligations or guidance. We may also cancel an initiated Withdrawal for regulatory reasons. Accordingly, we may, at any time and without notice, reject any Withdrawal or impose limits on the amount you can Withdrawal.

10. TRADES

10.1. Generally subejct to eligibility requirements and geographic restrictions, our Services may allow you to trade through your UNX account (“Trade”):

  • A certain Digital Asset for another Digital Asset.


  • The Digital Assets that may be available for Trades may change, without notice. You may not be able to Trade certain Digital Assets for certain other Digital Assets.

10.2. All Trades are final, non-refundable, and non-reversible. All orders are non-cancellable, including before or after we execute a Trade, unless otherwise provided in these terms. In some circumstances, you may have the opportunity to request cancellation of an order before we execute the Trade, but we may refuse any cancellation request at our sole discretion. If we fulfil such a cancellation request, that doesn’t mean we'll cancel future orders in the same or similar circumstances. In the event of an error, whether via our Services or Platform, in a purchase order confirmation, in processing your purchase, in funding your UNX account, or any other Transaction, we reserve the right, and you authorize us, to correct such error, including by revising the Transaction (including charging the correct price), cancelling the Transaction, or taking any other action to resolve the error.

10.3. To optimize Transaction efficiency and minimize costs, we utilize a sweep mechanism that transfers funds to a hot wallet, which serves as a shared liquidity pool within an omnibus wallet managed by a third-party service provider. This structure allows for efficient internal transfers and minimized on-chain transaction costs while maintaining security.

When you initiate a Trade, the necessary Funds are allocated within an omnibus wallet to facilitate the Transaction. We maintain an internal ledger that accurately tracks user Balances and Transactions, ensuring that each Customer Asset remains properly accounted for within the shared vault. Additionally, for users within an omnibus vault structure, a third-party provider maintains its own transaction ledger linking user IDs to Transactions.

Digital assets may be held across multiple blockchain protocols and, in some cases, transferred off the primary blockchain to shared blockchain addresses controlled by us or stored in alternative blockchain-compatible formats.

We implement robust security protocols to protect digital assets within an omnibus wallet structure, ensuring that both smaller and high-value transactions are processed efficiently and securely.

10.4. Our Platform integrates with third-party service providers that may support the use of layer 2 blockchain networks for certain Transactions. These layer 2 networks and services are developed, maintained, and operated by independent third parties, over which we have no control. While our Platform may facilitate access to these services, we do not operate, manage, or guarantee the functionality, security, or availability of any Layer 2 network or service provider. We may, at our discretion, modify, restrict, or discontinue support for certain Layer 2 networks or third-party service providers at any time.

You acknowledge and agree that any Layer 2 functionality you access is subject to a third-party provider’s terms of service and is outside our control. We make no representations, warranties, or guarantees regarding the availability, performance, security, or compatibility of any Layer 2 network with our Platform or any third-party service provider.

By using Layer 2 networks, you agree that we disclaim all responsibility for any loss, liability, or damage - whether direct or indirect - that you may incur due to the use of a third-party service provider or Layer 2 network, including but not limited to network failures, security vulnerabilities, transaction errors, or service disruptions.

10.5. To make a Trade, you must submit an order through the services. When you submit an order, you authorize us to execute a transaction in accordance with the order and to charge you any applicable fees. We cannot guarantee any order will trade at any particular exchange rate and the exchange rates that may be used for your order may differ from rates provided by third parties.

11. FEES

11.1. Transaction Fees

All Transactions on the Platform are subject to fees (“Transaction Fees”), which are calculated as a percentage of the Transaction amount. Users cannot manually adjust Transactions Fees, set transaction priorities, or modify fee structures.

For Trades and Withdrawals, Transactions Fees are automatically applied at the time of the Transaction and deducted from the transaction amount in accordance with our Fee Policy.

11.2. No User-Controlled Fee Settings

Users cannot set custom fees, select transaction speeds, or adjust blockchain network parameters such as maxFee or priorityFee. All fees are determined by our Platform and applied automatically to ensure efficient processing.

11.3. Agreement to Fees & Changes

By using our Services, you agree to pay all applicable fees for Trades, Deposits, and Withdrawals, as outlined in our Fee Policy. Fees may change without prior notice. For the most up-to-date fee structure, please refer to the Fee Policy on our UNX website.

12. TAXES

12.1. You alone are responsible for determining what taxes apply to your use of the Services, including for Trades, Deposits, and Withdrawals, and for reporting and remitting the correct taxes to the appropriate tax authorities. You agree that we have no responsibility or liability for determining what taxes apply or for collecting, reporting, withholding, or remitting any taxes arising from any Transaction, unless otherwise required by law.

12.2. Notwithstanding anything herein to the contrary, we may withhold from any amounts otherwise due or payable to you such taxes as may be required to be withheld pursuant to any Applicable Law. You authorize us, in our sole discretion, to increase any applicable Fees to UNX account for taxes owed on a particular Transaction undertaken using our Services and Platform.

13. USER CONTENT & INTELLECTUAL PROPERTY 

  • 13.1. For the purpose of this Terms, User Content shall include any information, material, or content that a user submits, uploads, publishes, or otherwise transmits through the Platform, it may include, without limitation, communications with customer support, public feedback, forum posts, and other content shared via any interactive features of the Platform.


  • 13.2. Please note that UNX does not claim any ownership rights to any User Content on the Platform. Unless otherwise specifically indicated in these Terms, UNX does not restrict any rights that any User may have to use and exploit their User Content. Subject to the foregoing, UNX and its licensors exclusively hold all right, title and interest in and to any and all content in our Platform, including any and all related intellectual property rights. You understand and agree that the Services and Content are protected by Applicable Laws. You further understand that you shall not illegally use, alter, obscure or dispose of the intellectual property rights or any other proprietary rights of this Platform, UNX or its Services, or any Third Party Partner, or other person during your use of the Services offered by UNX.


  • 13.3. Upon accepting this Agreement, you agree to transfer and assign exclusively and free of charge to this Platform all copyright and related rights for any content you publish on the UNX Platform. This includes but is not limited to, copyrights, distribution rights, lease rights, exhibition rights, performance rights, projection rights, broadcasting rights, information network dissemination rights, shooting rights, adaptation rights, translation rights, and compilation rights. UNX shall have the right to enforce these rights and seek full compensation for any infringement.


  • 13.4. You grant UNX a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sub-licensable, and transferable license to use, copy, distribute, display, perform, and create derivative works from your User Content. This license is granted for the purpose of operating, improving, and providing our Services. This Agreement applies to all content published by you on the Platform whether created before or after signing the Agreement. For more details on how your privacy and User Content are handled, please refer to our Privacy Policy.


  • 13.4. You warrant and represent that you have the right and authority to submit your User Content and that the User Content or any part thereof does not infringe the intellectual property rights or any other rights of any third party.


  • 13.5. You acknowledge that, in certain instances, where you have removed your User Content (whether by specifically deleting it or other similar actions), some of your User Content (whether in whole or in part) may not be completely removed and copies of your User Content may continue to exist on the Platform. We are not responsible or liable for the removal or deletion of (or the failure to remove or delete) any of your User Content.


  • 13.6. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, view, copy, display and print the content available on the Platform solely in connection with your permitted use of the Services.


  • 13.7. UNX will take down works in response to any European Union Copyright Directive (“EUCD”) takedown notices or other intellectual property infringement claims as applicable. UNX will also terminate a User's access to the Platform if the User is determined to be a repeat infringer. If your User Content has been copied in a way that constitutes copyright or trademark infringement, or violates your publicity or other intellectual property rights, please submit a written notice to us by raising a support ticket from the support section on the Platform.


  • 13.8. Users cannot issue press releases or make public statements related to UNX without prior written permission. Misrepresenting the relationship with UNX is also prohibited. UNX may display third-party content but does not control or endorse it. Interactions with third-party content are solely between the user and the third party, and UNX is not responsible for these interactions. Once users leave the Platform for a third-party site, UNX's terms no longer apply.

14. PROCESSING OF PERSONAL DATA AND PRIVACY

  • 14.1. Please refer to our UNX Privacy Policy for information about how we collect, use, and disclose your personal data and information. 


  • 14.2. As stated in the Privacy Policy, UNX is committed to adequately protecting your Personal Data regardless of where the Personal Data resides and to providing appropriate protection if your Personal Data is transferred outside of the EEA.


  • 14.3. You can review the Personal Data you have provided us and make any desired changes to such information, or adjust the settings for your UNX account, at any time by logging into your UNX account on the Platform.


  • 14.4. If you wish to close your UNX account, you must submit a support ticket through our Platform. Account closure requests are subject to review and approval, and additional verification may be required.


  • 15.5. If your account is closed, we will retain your Personal Data in our database for a period of five (5) years. In certain cases, we may collect, store, transfer, or process your Personal Data for a longer period if required under Applicable Laws.


15. PROHIBITED ACTIVITIES AND USER CONDUCT

  • 15.1. You may not use the UNX Services to conduct, pay for or facilitate activities that:


    • i. violate or attemp to violate any Applicable Law.


    • ii. use our Services in a manner that breaches or attempts to breach any of the provisions of this Terms.


    • iii. relate to transactions involving:


      • narcotics, steroids, certain controlled substances or other products that are prohibited under Applicable Law.

      • items that encourage, promote, facilitate or instruct others to engage in illegal activity,

      • stolen or pirated goods including digital and virtual goods or items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the laws of any jurisdiction,

      • the promotion of hate, violence, racial intolerance, blackmail, extortion or the financial exploitation of a crime,

      • items that are considered obscene,

      • certain sexually oriented materials or services,

      • ammunition, firearms, or certain firearm parts or accessories, or certain weapons or knives regulated under Applicable Law.


    • iii. relate to transactions that


      • show the personal information of third parties in violation of Applicable Law,

      • are associated with purchases of annuities or lottery contracts, lay-away systems, off-shore banking or transactions to finance or refinance debts funded by a credit card,

      • are by payment processors to collect payments on behalf of merchants,

      • involve certain credit repair, debt settlement services, credit transactions or insurance activities,

      • involve offering or receiving payments for the purpose of bribery or corruption.


    • iv. Further, you will not:



      • use the Services or allow a third-party individual or entity to use the Services to commit fraud or otherwise violate the law;

      • engage in conduct that is harassing, threatening, intimidating, or stalking, or that we otherwise deem objectionable;

      • engage in conduct or an act of fraud, extortion or blackmail, that seeks to disseminate falsehoods about Cambix and/or UNX or otherwise harm Cambix’s and/or UNX’s reputation and credibility using deception;

      • use the Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying the Services or that could damage, disable, overburden or impair the functioning of the Services in any manner;

      • attempt to coerce any member of the UNX team with any form of bribery or gifts that may materially influence a decision to the benefit of the user;

      • use the Services to deliberately steal the assets of another user, UNX or its partners, through replay attacks, etc.

      • reverse engineer any aspect of the Services or do anything that might discover the source code of the Services (except to the extent such restriction is prohibited by Applicable Law);

      • violate, infringe or misappropriate any intellectual property right, or other third-party right, or commit a tort;

      • reproduce (other than standard website page caching), create derivative works of, publicly perform, publicly display, distribute, sell, rent, lease, timeshare or otherwise commercially exploit the Services, in whole or in part;

      • attempt to bypass or circumvent measures employed to prevent or limit access to any content, area or functionality on the Services;

      • develop any third-party applications that interact with the Services without our prior written consent, except as allowed through the use of the UNX API;

      • use any robot, spider, crawler, scraper, script, browser extension, offline reader or other automated means or interface not authorized by us to access the Services, extract data or otherwise interfere with or modify the rendering of Services pages or functionality;

      • plant any malicious code for any reason whatsoever;

      • use the Services other than for its intended purposes; or

      • use the Services to engage in or promote any activity that violates these Terms.

You shall strictly abide by the various rules and regulations announced or modified by UNX from time to time. If you fail to comply with any of the above, UNX has the right at its sole discretion to immediately suspend or terminate your access to the Services and the Platform and take other measures without assuming any liability. 



16. ACCOUNT TERMINATION

  • 16.1. UNX reserves the right to modify, suspend, restrict, or terminate your access to our Services or Platforms at any time, without liability or prior notice. This includes the ability to suspend, restrict, or delete your UNX account, any related information, or any User Content..


  • 16.2. Account Limitation and Suspension:

  • Modification or Discontinuation: We may modify or discontinue our Services or Platform, or any part of them, at any time.

  • Suspension or Restriction: Your access to our Services or Platforms may be suspended or restricted if we determine it is necessary to ensure compliance with these terms or any legal, regulatory, or administrative obligations or guidance under the Applicable Law

  • Transaction Rejection: We reserve the right to reject any Deposit, Withdrawal, Trade, or other Transaction or use of the Service.

16.3. Account Termination:

  • Termination by UNX: We may terminate your UNX account at our discretion by providing you with prior notice. However, we may also close your UNX account at any time without prior notice under certain conditions, such as breach of these Terms, suspected fraudulent access, or if we believe we may incur liability through the continuation of our relationship with you.

  • Termination by User: You may terminate your UNX account at any time by transferring your Funds and ceasing to use our Services.

  • Post-Termination Obligations: Upon termination, you will remain liable for all outstanding obligations under these terms related to your Account prior to closure. We may retain your Account information in our database as required by Applicable Law for the purpose of fulfilling our legal obligations and other permitted reasons.

16.4. If we terminate your UNX account, we will contact you to return any Funds in your Account, except in cases where you owe us fees or if we believe you have committed fraud, negligence, or other misconduct. If your UNX account remains inactive for an extended period and we are unable to return your Funds, we may be required to report and remit them in accordance with applicable unclaimed property laws, which may require the liquidation of the Funds held in your UNX account.


17. FEEDBACK AND NOTIFICATIONS

  • 17.1. You may provide us feedback, suggestions, or ideas relating to our Services or Platforms (“Feedback”). You represent and warrant that you have the right to provide us any Feedback that you provide. You agree that we will own all Feedback, and you hereby irrevocably assign all right, title, and interest in and to all Feedback to us.


  • 17.2. All communications will be in English, and UNX may notify you by posting on our UNX website, emailing, or sending SMS messages. Notices are considered received within 24 hours. If you withdraw consent to receive electronic communications, UNX may close your Account.


  • 17.3. Notices to UNX/Cambix must be sent by postal mail to our registered address in Lithuania. UNX may amend, delete, or add to these Terms, including fee changes, by posting a revised version on our UNX website or notifying you by other means. If you do not object to changes within a reasonable notice period, you are deemed to have accepted them. If you do not accept a change, you may close your Account following the specified procedure. Note that you may still be liable for any obligations incurred before terminating these terms.


18. LIABILITY, WARRANTIES, AND DISCLIAMERS

  • 18.1. Limitations of Liability

  • 18.1.1. UNX and its affiliates, directors, members, employees, or agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. This includes any loss of data, use, goodwill, or other intangible losses resulting from loss of income or transaction profits; disruption of business; loss of expected currency or information; loss of opportunity, goodwill, or reputation; damage or loss of data; cost of purchasing alternative products or services; access to or use of or inability to access or use the Services; conduct or content of any third party on the Services; unauthorized access, use, or alteration of transmissions or content.


  • 18.1.2. UNX’s aggregated liability in connection with these Terms shall not exceed the greater of $150 US dollars or the fees UNX received from you in the 12 months immediately preceding the event giving rise to the liability.


  • 18.1.3. To the maximum extent permitted by applicable laws, UNX is only liable in cases of gross negligence or willful misconduct. Liability is limited to damages normally foreseeable at the time of the conclusion of these Terms.


  • 16.1.4. Without limiting the foregoing, UNX or any of UNX affiliates and partners will not be liable for any failure or delay in performing obligations under these Terms when caused by abnormal and unforeseeable circumstances beyond our control. This includes interruptions or unavailability of telecommunication systems or services due to fire, power cuts, failure of computer systems, or attacks against UNX systems. UNX shall not be liable for damages resulting from legal provisions, measures by public authorities, acts of war, revolutions, civil wars, fait du Prince, strikes, lockouts, boycotts, and picketing, regardless of whether UNX is a party to the conflict or if its services are only partially affected, or where failure or delay occurs due to compliance with legal obligations or national or foreign laws or regulations or decisions of authorities.


  • 18.2. No Warranties


  • 18.2.1. The site, materials, and services are provided on an “as is” basis. UNX disclaims all representations or warranties of any kind, express or implied, regarding the site, materials, or services, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, or non-infringement; that the services will meet your requirements, be uninterrupted, timely, secure, or error-free; that any products, services, information, or other materials obtained will meet your expectations.


  • 18.2.2. The stability of the market is not guaranteed, and the price and value of digital assets may fluctuate. Transactions are based on your personal decision, and you assume all risks and losses.


  • 18.3. Right of Refusal to Compensate


  • 18.3.1. UNX reserves the right to refuse compensation if your behavior involves illegal, fraudulent, malicious, or unethical actions; you unreasonably believe the loss is caused by UNX; or losses are not caused by or attributed to UNX.


  • 18.4. Nature of Relationship and No Financial Advice

  • 18.4.1. The relationship between you and UNX does not create any fiduciary, trustee, or equitable obligations. UNX is not your broker, intermediary, or advisor and has no obligation to you in connection with any transactions or decisions made using the platform.


  • 18.4.2. No communication or information provided by UNX is intended as investment or financial advice. You are solely responsible for determining the appropriateness of any transaction based on your financial circumstances and risk tolerance.


  • 18.4.3. You are solely responsible for determining whether any transaction is appropriate for you according to your personal financial circumstances and risk tolerance, and you shall be solely responsible for any loss or liability therefrom. Before making the decision to buy, hold or sell any Digital Asset, you should conduct your own due diligence prior to making any investment decision. You should also consult legal or tax professionals regarding your specific situation regarding potential tax liability. UNX does not recommend that any Digital Asset should be bought, sold, or held by you. UNX will not be held responsible for the decisions you make regarding Digital Assets based on the information provided by UNX.


  • 18.5. Indemnification


  • 18.5.1. To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless UNX and its affiliates from any claims and losses arising out of your actions, user content, breach of these terms, or use of the services.


  • 18.6. Legal Action and Complaints


  • 18.6.1. If you have any complaints about the Services provided by UNX, you should first contact our customer support team through the contact page on our UNX website. We aim to resolve all complaints promptly and fairly.


  • 18.6.2. If you are not satisfied with the resolution provided by our customer support team, you may escalate your complaint to the Bank of Lithuania, which acts as a dispute resolution body. Further details about the Bank of Lithuania can be found at: https://www.lb.lt/en/contacts.


  • 18.6.3. We are committed to resolving complaints in a timely manner and will provide a final response within 15 business days of receiving your complaint. If we are unable to provide a final response within this timeframe, we will inform you of the reasons for the delay and provide an estimated timeframe for resolution.


  • 18.7. Assignment


  • 18.7.1. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. You shall remain fully responsible for any and all acts and omissions of any third parties you engage in connection with these Terms.


  • 18.7.2. UNX may freely assign or transfer these Terms, in whole or in part, without restriction. Such assignment or transfer will not affect your rights or obligations under these Terms.

19. SEVERABILITY

  • 19.1. If any provision of these Terms is found to be invalid, illegal, or unenforceable under any Applicable Law, rule, or regulation in any jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid, illegal, or unenforceable provision shall be interpreted and modified to the minimum extent necessary to accomplish the objectives of the provision to the greatest extent possible under any applicable law. This shall apply without affecting the validity, legality, or enforceability of such provision in any other jurisdiction, and the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. 

20. GOVERNING LAW, VENUE AND DISPUTE RESOLUTION

  • 20.1. These Terms, your use of the Services, any claim, counterclaim or dispute of any kind or nature whatsoever arising out of these Terms, directly or indirectly (“Dispute”), shall be governed by, and construed under the laws of the Lithuania without regard to the principles of conflicts of laws thereof. 


  • 20.2. You acknowledge and agree that in the event of any Dispute or claim, you will first follow UNX’s complaints policy outlined in section 18.6 in a genuine attempt to resolve the issue.  


  • 20.3. You expressly acknowledge and agree that any dispute, claim, or controversy arising out of or relating to your use of the Services, which are incapable of being amicably resolved following the complaints process, shall be finally resolved through binding arbitration exclusively, in accordance with the London Centre for International Arbitration (“LCIA”) Rules, which are deemed to be incorporated by reference into this clause, seated in London.The number of arbitrators shall be one. The language used in the arbitration shall be English. Matters pertaining to any proceedings or any subsequent award shall remain confidential and the details may not be released into the public domain. 


  • 20.4. USERS EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN OR INITIATE GROUP ARBITRATION PROCEEDINGS OR CLASS ACTION LAWSUITS RELATED TO ANY DISPUTES OR CLAIMS ARISING FROM THEIR USE OF THE PLATFORM AND/OR SERVICES, AND BOTH YOU AND WE AGREE THAT ANY CLAIMS MADE AGAINST THE OTHER SHALL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. NO CLAIMS SHALL BE CONSOLIDATED UNLESS BY PRIOR MUTUAL AGREEMENT BETWEEN THE USER(S) AND UNX.


  • You are entitled to opt out of and not be bound by the arbitration clause and the class action waiver clause, provided you send written notice to opt out. This notice must be sent by postal mail to our registered address in Lithuania within sixty (60) days of registering your UNX account. Failure to opt out within this period will constitute acceptance of the arbitration and class action waiver clauses.



  • 20.5. You agree that UNX shall not be required to give general discovery of documents, but may be required only to produce specific, identified documents which are relevant and material to the outcome of the Dispute.
